Agreement to terms

By engaging Ranger Operations ("we," "us," "our") for services, you ("Client," "you") agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

Ranger Operations provides AI-powered phone answering, scheduling, and dispatch systems for trades and home service companies. Our services include:

You are responsible for:

SMS and messaging terms

As part of our service, we send SMS messages on your behalf to your customers and crew. By activating SMS features, you agree to the following:

Permitted use cases. SMS messages sent through our platform are limited to: appointment confirmations, appointment reminders, service follow-ups, and emergency dispatch notifications. These are transactional messages directly related to a service requested by the recipient.

Consent. You represent that all individuals who receive SMS messages through our platform have provided consent by voluntarily providing their phone number in the course of requesting a service (e.g., calling to book an appointment) or have been enrolled by you as crew members who consent to dispatch notifications. You agree not to use our SMS features for unsolicited marketing, promotional messaging, or any purpose unrelated to the service interaction.

Opt-out. All SMS messages include the ability to opt out by replying STOP. We honor all opt-out requests immediately. You may not re-enroll numbers that have opted out without fresh, independently obtained consent.

HELP response. Recipients who reply HELP will receive a response with your business name and a support contact.

Prohibited content. You may not use our SMS features to send messages containing content that is illegal, deceptive, harmful, hateful, sexually explicit, or otherwise violates applicable law or carrier policies.

No data sharing. Phone numbers and SMS opt-in data collected through our platform are used solely to deliver messages related to the service interaction. We do not sell, share, or transfer this data to third parties for marketing or any unrelated purpose.

Compliance. You acknowledge that SMS messages sent through our platform must comply with Canada's Anti-Spam Legislation (CASL), the Canadian Radio-television and Telecommunications Commission (CRTC) rules, and any other applicable telecommunications regulations. We reserve the right to suspend SMS functionality if we reasonably believe your use violates these requirements.

Telephone services

We provision telephone numbers through Twilio for use with your AI front desk agent. These numbers are used exclusively to receive inbound calls from your customers and, where applicable, to send outbound SMS messages related to booked appointments.

Acceptable use. Phone numbers provisioned through our service may only be used for legitimate business communications related to your trades or home service company. You may not use these numbers for telemarketing, cold calling, robocalling, spam, fraud, or any purpose that violates applicable telecommunications laws.

Number ownership. Phone numbers provisioned for your account remain the property of the telecommunications carrier (Twilio). Upon termination of service, numbers will be released unless porting arrangements are made in advance.

Call recording. If call recording is enabled for your account, you are responsible for complying with applicable consent and notification requirements in your jurisdiction. We will configure appropriate disclosure in your AI agent's script as required.

Google Calendar integration

Our service integrates with Google Calendar to check availability and book appointments. By authorizing this integration, you grant us permission to access your Google Calendar for the sole purpose of reading availability and creating appointment events. Our use of Google data adheres to the Google API Services User Data Policy, including the Limited Use requirements. You may revoke this access at any time via your Google Account settings.

Setup and onboarding

Setup fees and monthly service fees are outlined in your service agreement or as listed on our website at the time of purchase. Setup fees, where applicable, are due before system deployment. We aim to deploy your system within 5-7 business days of receiving all required information and calendar authorization from you.

Billing and payment

Monthly service fees are billed at the beginning of each service period. Payment is due within 15 days of invoice date. We accept payment via credit card, e-transfer, or other methods as agreed. Late payments may result in temporary suspension of services after a 7-day grace period and written notice. We reserve the right to adjust pricing with 30 days written notice before the next billing cycle.

Performance guarantee

We stand behind our service. If your AI front desk agent does not pay for itself within the first 30 days of active service, we will refund your first month's service fee in full upon request. This guarantee applies to the first month of service only and requires that your system has been fully configured and your phone number is actively receiving calls during the guarantee period.

Service availability

We strive to maintain 99.9% uptime for our systems. However, we cannot guarantee uninterrupted service due to factors outside our control, including but not limited to: internet connectivity issues, third-party service outages (Google, Twilio, Retell AI), telecommunications carrier disruptions, and scheduled maintenance (we will provide advance notice when possible). We are not liable for missed calls or lost revenue resulting from service interruptions caused by factors outside our reasonable control.

We reserve the right to immediately suspend or terminate your account if we determine, in our sole discretion, that you have violated these acceptable use terms.

Intellectual property

We retain ownership of all proprietary technology, systems, prompts, and configurations that power our platform. You retain ownership of your business data, customer information, and call records. The custom voice agent configuration we create for your business is licensed to you for the duration of your service agreement and is not transferable.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of this service relationship. This includes your business data, customer information, and our system configurations and processes. This obligation survives termination of services.

Limitation of liability

To the maximum extent permitted by law, Ranger Operations' total liability for any claims arising from or related to our services is limited to the amount you paid us in the 3 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost business opportunities resulting from missed calls, scheduling errors, or service interruptions.

Indemnification

You agree to indemnify and hold harmless Ranger Operations, its officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: your violation of these terms, your misuse of our services, your violation of any law or regulation, or any SMS or communications sent through our platform at your direction that violate applicable law.

Termination

Either party may terminate the service relationship with 30 days written notice. Upon termination, we will disable your AI front desk agent and phone number routing at the end of the current billing period. You may request deletion of your data per our Privacy Policy. Setup fees are non-refundable after system deployment. Monthly fees are non-refundable for the current billing period but no further charges will apply after termination takes effect.

Modifications to terms

We may update these terms from time to time. Material changes will be communicated to active clients via email at least 30 days before they take effect. Continued use of our services after changes take effect constitutes acceptance of the updated terms.

Governing law

These terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes arising from these terms or our services will be resolved in the courts of the Regional Municipality of Waterloo, Ontario.
